The airfield Strausberg is located in the German state of Brandenburg, 2 km to the northeast of the inner city of Strausberg and about 35 km to the east of Berlin. Strausberger Flugplatz GmbH, the operator of airfield Strausberg, is fully owned by the public shareholder Strausberger Eisenbahn GmbH, which itself is fully owned by the city of Strausberg. Strausberger Eisenbahn GmbH intends to sell up to 49 % of its shareholding in Strausberger Flugplatz GmbH to a strategic investor to foster the airfield's further development.
Against this background, PwC has been appointed by Strausberger Eisenbahn GmbH as financial transaction advisor.

Potential purchasers are kindly asked to express their interest in the acquisition of up to 49 % of shareholding in Strausberger Flugplatz GmbH until 15.1.2018. Later expressions of interest will not lead to an exclusion from the bidding process, but all potential purchasers will have to keep the same deadlines for the subsequent bidding rounds. Please address your interest to Johannes Single (johannes.single@de.pwc.com), PwC GmbH WPG. Following this, Strausberger Eisenbahn GmbH will continue to carry out the non-discriminatory and transparent procedure that may contain several bidding rounds and will be accompanied by further proceeding information.

Conditions for obtaining more detailed information about Strausberger Flugplatz GmbH (i.e. the information memorandum and access to the data room) and for taking part in the structured bidding process are stated in the requirements letter for expressions of interest, which will be provided upon request. Conditions will be (i.) provision of general company information and business description, (ii.) explanation of investment rationale and strategy, (iii.) acting as principal confirmation, (iv.) provision of audit report, and (v.) signing a non-disclosure agreement.

Note that bidders, their legal representatives and their shareholders may become subject of a ‘Know Your Counterparty-Check’ on behalf of the seller and therefore may be asked to submit additional information at a later date.
In accordance with the Private Vendor Principle under EU-state aid law, Strausberger Eisenbahn GmbH will act like a private seller of a shares. The criterion for the selection of the best bidder is the purchase price taking into account the need for transaction security.
