TenneT intends to conclude a framework contract for an assembly insurance (CAR including installation, construction work, transport and liability (section II)) for short-term operation and maintenance measures, e.g.
Cable repair or complex maintenance works on German and Dutch assets of offshore grid connection systems. This “CAR O&M” insurance is intended to cover material damage resulting from such O&M works at operational plants primary to the existing cover of the offshore machinery insurance. The Framework Agreement has 3 lots, cable repair (lot 1), standard O&M activities (lot 2) and non-standard O&M activities (lot 3). Specific demands will be tendered via a specific call-off from the Framework Agreement. Lot 1 and Lot 2 are going to be tendered as first call-off directly after signing the Framework Agreement with a duration corresponding with the Framework Agreement itself.
Call-offs for this Framework Agreement are subject to the existence of relevant O&M works.

This lot is to be tendered by single a call-off that will be issued right after the Framework Agreement is signed. The duration for this call-off corresponds to the expiration date of the Framework Agreement. The Framework Agreement is concluded without minimum purchase quantities.

The Framework Agreement is automatically prolonged until 31.12.2022 unless it is terminated by the client with written notification latest 3 month prior to the end of the base period.

Standard O&M activities can include a. o. the following planned scope of works up to a volume of 3 000 000 EUR per campaign:

— electro-technical maintenance,

— mechanical maintenance,

— heavy-lift operations,

— scaffolding works,

— hot-works.

Extraordinary O&M activities or projects are the residual works not included under Lot 1 or Lot 2:

— very specific unforeseen events that occur offshore with an order volume of more than 3 000 000 EUR per campaign

This lot is to be tendered in case of occurrence of an unforeseen demand for O&M activities by single a call-off as stated above in II.2.4. The Framework Agreement is concluded without minimum purchase quantities.

Bedingungen für die Teilnahme
Befähigung zur Berufsausübung:

— proof that the bidder is directly licensed as a risk bearer to operate the advertised insurance lines in an EU country and meets the requirements of the Insurance Supervision Act (VAG / Solvency II) for business operations in Germany. Appropriate evidence, e.g. excerpt from the annual financial statements are to be submitted (The provisions of Solvency II apply from the calendar year 2016),

— current commercial register extract from the chamber of commerce, not older than 3 months at the time of the participation due date,

— business organisation chart, in particular of the claims handling department in Germany with reference to assembly insurances,

— at least self-declaration, that no insolvency proceedings or any comparable statutory procedure is pending or the opening is requested or rejected due to the lack of assets or a confirmation from the insolvency administrator about the final confirmation of an insolvency plan (§ 258 InsO),

— at least self-declaration, that there are no circumstances that question the expertise, performance and reliability of the bidder (§ 123, 124 GWB),

— presentation of the last 3 annual reports (at least balance sheet/profit and loss): in particular an annual turnover of min. 300 000 000 EUR (lead insurer) and 100 000 000 EUR (to follow insurer) per year over the last 3 years resulting from insurance/underwriting activities.

In the case of a group involvement, this turnover relates to the total sales of the group, provided that the bidder is 100 % owned by the group parent and, in the case of a consortium formation, refers to the cumulative turnover of the consortium partners.

In the event that the candidate / tenderer uses the capacity of another legal entity to obtain the necessary professional qualifications (e.g. group companies), this must be stated by filling in the respective template (to be downloaded under Negometrix and to be handed in together with the candidate's application form) and also proven that the other legal entity will be jointly liable with the tenderer, in case of a contract award, according to the extent of used capacity.

Wirtschaftliche und finanzielle Leistungsfähigkeit:

In order to demonstrate sufficient economic performance, it is necessary, at least by self-declaration, to demonstrate compliance with one of the following (or better) rating values:

S&P: A (BBB+)

Moody’s: A3 (Baa1)

Fitch: A- (BBB+).

— Overview/brief report of the insurer incl. Information on:

—— group,

—— insurance company,

—— German branch, statements on claims business: insurance portfolio, gross premium income, claims information — number of claims reported, loss ratio, services to customers, number of employees, results and equity ratio,

— Self-declaration of sufficient re-insurance coverage.

In the event that the candidate/tenderer uses the capacity of another legal entity to obtain the necessary professional qualifications (e.g. group companies), this must be stated by filling in the respective template (to be downloaded under Negometrix and to be handed in together with the candidate's application form) and also proven that the other legal entity will be jointly liable with the tenderer, in case of a contract award, according to the extent of used capacity.

Technische und berufliche Fähigkeiten:

— Language for contract, negotiations and claims handling: German and/or English,

— self-declaration, that the policyholder has at the tenderer a fixed point of contact for claims processing and a fixed point of contact for contract matters (provided by the tenderer or for a consortium by the leading insurer),

— self-declaration, that a maximum response time within 48 hours to claims or to questions about the contract by the policyholder is given (provided by the bidder or for a consortium by the leading insurer),

— self-declaration on references to similar/equivalent insurance contracts in the last 5 years, with details of scope of benefits and year of service. (Lead insurer at least 3 references, investment insurer at least 1 reference),

— self-declaration that a quality system has been introduced by the tenderer in accordance with ISO 9000 or equivalent.

In addition, the following proofs for the lead insurer at least as a self-declaration:

— office with appropriate staff in the EU,

— competence profile on damage and risk management/presentation of the expertise of the persons intended for claims processing,

— the bidder has to proof by self-declaration that he has permanently employed experts for offshore assembly insurances incl. the respective FTE numbers (full-time equivalent)

Liste und kurze Beschreibung der Regeln und Kriterien:

On the basis of legitimate confidentiality interests, the client will provide the tender documents only after receipt of the confidentiality agreement (NDA) signed by the tenderer.

Tenderers are allowed to submit signed NDAs to the client at any time during the call for competition. The client will grant the bidder access to the tender documents after a plausibility check. This check does not guarantee the any suitability of the bidder for further participation in the tendering process. To this regard, after expiry of the deadline for the submission of applications, the client will send separate requests for quotation to the successful tenderers.

Auftragsausführung
Rechtsform der Gruppe von Wirtschaftsteilnehmern, an die der Auftrag vergeben werden soll:

In the event that different bidders join together to form a consortium, the client will only accept a joint liability of the consortium. A statement has to be made, using Annexes A2-A3, stating that all members of the consortium are jointly liable. Furthermore, a clear lead manager must be appointed. Furthermore, the exact bidder constellation has to be explained and the legal construction needs to be visualized. The consortium structure shown in the entry contest is considered as fixed and may not be changed in the further proceedings.

The application documents must be submitted exclusively via Negometrix. A submission in advance, e.g. by E-mail is not permitted.

The client is entitled to transfer the rights and obligations of the subject matter of the contract to a special purpose vehicle (SPV), irrespective of whether third parties have already participated as shareholders in this project company, or only after any transfer of this master agreement to such a project company.

Authorized to call for this Framework Agreement are also companies affiliated with the client within the meaning of §§ 15 ff. AktG.

§ 30 SektVO entitles the client to discontinue the award procedure at any time. The period of § 107 Abs. 3 No. 4GWB is expressly pointed out.

The client reserves the subsequent awarding of additional and / or similar construction services to the successful bidder in this procurement procedure acc. § 6 para. 2 No. 6 or 7 SektVO.

Procurement is subject to change in the legal and/or regulatory framework, rules and regulations in force at the time of publication of this announcement.

The Framework Agreement is concluded without minimum purchase quantities. The exercise of any call-offs from the Framework Agreement is subject to the actual commissioned power transmission systems (main project), which is superior to the respective platform construction (subproject).

The requests to participate must be submitted in due time and in full by the deadline (see section IV.2.2). Late entries cannot be considered. Incomplete submitted documents may lead to exclusion.

All documents referred to in point III.1) "Conditions of participation" in this call for tender have to be submitted.

All attachments have to be submitted exclusively via Negometrix only.
