Applying a covering layer with rocks along high voltage subsea cable routes and/or in the vicinity of offshore substations for scour protection including all needed engineering (method statement, procedures, calculations and project management).

Dauer: 36 Monate

The contract expires after 36 months, unless the client requests an extension of the contract, latest 3 month before expiration. The contract can be prolonged once by maximum 12 months.

Options do relate to the Dutch part of the scope of work and are specified in the tender documents.

Proof must be provided by presenting the following documents:

— Current commercial register extract, not older than 3 months at the time of the participation due date,

— Business organization (in particular locations of the company, mobilization ports used, used vessel units including ownership structure)

— Organizational chart and proof of a staff of at least 50 FTE (= full-time equivalent)

The above conditions are to be met either by the tenderer or summarily by a consortium.

In the event that the candidate / tenderer uses the capacity of another legal entity to obtain the necessary professional qualifications (e.g. group companies), this must be stated by filling in the annexes A2-A3 (to be downloaded under Negometrix and to be handed in together with the candidate's application form) and also proven that the other legal entity will be jointly liable with the tenderer, in case of a contract award, according to the extent of used capacity.

Wirtschaftliche und finanzielle Leistungsfähigkeit:

Proof must be provided by presenting the following documents:

— At least self-declaration that no insolvency proceedings or any comparable statutory procedure is pending or the opening is requested or rejected due to the lack of assets or a confirmation from the insolvency administrator about the final confirmation of an insolvency plan (§ 258 InsO),

— Presentation of the last 3 annual reports (at least balance sheet / profit and loss): in particular an Annual turnover of min. EUR 5 million per year over the last 3 years resulting from the provision of construction services.

In the case of a group involvement, this turnover relates to the total sales of the group, provided that the bidder is 100 % owned by the group parent and, in the case of a consortium formation, refers to the cumulative turnover of the consortium partners.

The following existing insurance or certificate from the insurer about the willingness to cover the contractor with the appropriate insurances in the required amount as well as the confirmation of the contractor in case of award of contract:

a) Marine Hull Insurance / Hull and Machinery Insurance (Hull Insurance) with custom market limits based on the value of the vessel. It is up to the Contractor to decide whether to extend coverage on his expense for Marine War Risks or Mine Clauses for e.g. in particular damage from UXO;

b) Protection and Indemnity (P&I, Marine Liability Insurance) with a limit of min. 20 000 000 USD and market conditions comparable to those of members of the International Group Protection and Indemnity Association. "Non-IG" and "Fixed Premium P&I Facilities" are permissible, as long as the coverage is comparable to IG P&I Clubs. The cover should include i.a. environmental damage of 10 000 000 EUR as well as liability for collision and damage to fixed and floating units, if not already included in a) or c);

c) The Tenderer shall conclude general third party liability insurance at the latest upon commencement of the work in order to cover all possible claims of third parties not covered by the aforementioned insurance, i.e. limit of at least 15 000 000 EUR per claim for personal injury, property damage and resulting financial loss;

d) Charterer's Liability Insurance, as applicable, with a sum insured of at least 150 % of the declared value of the vessel, which covers legal liability to the vessel owner;

e) Workmen's Compensation and Employer's Liability Insurance for Employees to cover claims that are not covered by the above-mentioned insurance policies in accordance with legal requirements regarding employees of the contractor and other persons for whom the contractor can be held liable;

f) For special activities, e.g. close to offshore substations, which are specified in the individual call-off, supplementary cover modules are added in consultation with the client at its expense. Client and contractor conjointly work on obtaining this modules, e.g. "Extended Contractual Liability (contractual liability exceeding legal liability), for example, for cross-border contracts with liability amounts of up to 100 000 000 USD per claim".

Technische und berufliche Fähigkeiten:

Only companies that can prove references to the successful completion of comparable projects, which are not more than 5 years old, are admitted.

Proof must be provided by the presentation of reference lists. The lists include all projects, but at least one project, with a project volume> 1 000 000 EUR and must correspond to the mentioned water depth of 10-40 m.

The projects should be described with special reference to the following information:

— name of the client (including contact for any queries),

— location / sea area (including water depths),

— Technical parameters (work order, possibly quantity of bulk material, equipment used and vessels),

— year of execution,

— Project volume in million EUR.

Furthermore, proof of an existing quality assurance system is to be provided by submitting certificates in accordance with ISO 9001 and 14001 (or equivalent).

On the basis of legitimate confidentiality interests, the client will provide the tender documents only after receipt of the confidentiality agreement (NDA) signed by the tenderer.

Tenderers are allowed to submit signed NDAs to the client at any time during the call for competition. The client will grant the bidder access to the tender documents after a plausibility check. This check does not guarantee the any suitability of the bidder for further participation in the tendering process. To this regard, after expiry of the deadline for the submission of applications, the client will send separate requests for quotation to the successful tenderers.

In the event that different bidders join together to form a consortium, the client will only accept a joint liability of the consortium. A statement have to be made, using Annexes A2-A3, stating that all members of the consortium are jointly liable. Furthermore, a clear lead manager must be appointed. Furthermore, the exact bidder constellation has to be explained and the legal construction needs to be visualized. The consortium structure shown in the entry contest is considered as fixed and may not be changed in the further proceedings.

The application documents must be submitted exclusively via Negometrix. A submission in advance, e.g. by E-mail is not permitted.

The client is entitled to transfer the rights and obligations of the subject matter of the contract to a special purpose vehicle (NewCo), irrespective of whether third parties have already participated as shareholders in this project company, or only after any transfer of this master agreement to such a project participate.

Authorized to call for this Framework Agreement are also companies affiliated with the client within the meaning of §§ 15 ff. AktG.

§ 30 SektVO entitles the client to discontinue the award procedure at any time. The period of § 107 Abs. 3 No. 4 GWB is expressly pointed out.

The client reserves the subsequent awarding of additional and / or similar construction services to the successful bidder in this procurement procedure acc. § 6 para. 2 no. 6 or 7 SektVO.

Procurement is subject to change in the legal and / or regulatory framework, rules and regulations in force at the time of publication of this announcement.

All Rockplacement activities of the above companies are part of the subject matter of this invitation to tender, but only to the extent that there are no existing contracts with the original OEM contractor for these activities, whose contract periods overlap with the performance period of this invitation to tender.

Furthermore, the client points out that it can only make calls for rock placement activities within the context of the framework contracts to be awarded by means of this invitation to tender as long as it can take over the majority of the responsibility for the commissioning of rock placement activities. The client is not entitled to the right to exercise its option pursuant to Sec. Para. II.2.11) to make use of this announcement, as soon as within a co-operation project, a partner of the client is responsible for the commissioning of Rock Placement activities. In this case, the contractor is unable to assert claims in this regard against the client with regard to the obligation to exercise the option.

The Framework Agreement is concluded without minimum purchase quantities. The exercise of any call-offs from the Framework Agreement is subject to the actual commissioned power transmission systems (main project), which is superior to the respective platform construction (subproject).

The requests to participate must be submitted in due time and in full by the deadline (see section IV.2.2). Late entries cannot be considered. Incomplete submitted documents may lead to exclusion.

All documents referred to in point III.1) "Conditions of participation" in this call for tender have to be submitted.

All attachments have to be submitted exclusively via Negometrix only.
