Lot 1: helicopter hoisting is required as part of the maintenance phase of the offshore sections of the grid connection systems in the Dutch North Sea.

Helicopter hoisting operations (HHO) will be used especially for unscheduled deployments. Furthermore, it also shall be used to transport small amounts of cargo including dangerous goods and waste (usually packed in transport units, e. g. big bags).

The helicopter pilots will work in close cooperation with the Marine Operation Center (MOC) or the installation unit/offshore installation manager (OIM) and will transfer the client's personnel mainly as well as third party personnel from designated airports in NL to the offshore platforms or various installation units.

Beside the hoisting operations on demand, the client also will make call-off orders for ordering training and education measures for the client's personnel.

Lot 2: helicopter hoisting is required as part of the maintenance phase of the offshore sections of the grid connection systems in the German North Sea.

Helicopter hoisting operations (HHO) is only performed in case the HVDC platforms in operation in the German North Sea cannot be reached via the regular access systems.

Furthermore in those situations, it also shall be used to transport small amounts of cargo including dangerous goods and waste (usually packed in transport units, e. g. big bags).

The helicopter pilots will work in close cooperation with the Marine Operation Center (MOC) or the installation unit/offshore installation manager (OIM) and will transfer the client's personnel mainly as well as third party personnel from designated airports in GER to the offshore platforms or various installation units.

All training and education measures for the client´s personnel are also part of this contract.

Proof must be provided by presenting the following documents, which represent minimum conditions:

(a) extract of professional or trade register proof of registration in a professional or trade register of the country in which the applicant is established, which must be no more than three months old at the time of expiry of the time limit for submitting an application for participation; and

(b) declaration that no grounds for exclusion under §§123,124 GWB exists (corresponding form A7); and

The applicant and each member of a bidding consortium shall submit a presentation of the business organisation as part of their application for participation, including references to the business model (corresponding form A1 and, if applicable, form A2).

The form ‘Annex A4’ should be used for verification purposes.

In the event that the tenderer uses the capacity of another company to obtain the necessary professional, financial and technical qualifications under sections III.1.1) to III.1.3) (e.g. group companies), the ‘Annex A3’ must be completed and handed in together with the request for participation (the relevant documents can be downloaded from Negometrix) by the tenderer in order to prove that other company/companies will be jointly and severally liable with.

The corresponding form A1-A4 can be downloaded via Negometrix and are to be submitted (uploaded) along with the application for participation of the applicant/tenderer.

Wirtschaftliche und finanzielle Leistungsfähigkeit:

Proof must be provided by presenting the following documents, which represent minimum conditions:

(a) statement of total revenues and revenue in the field of activity of the contract to be awarded here for the last 3 completed financial years before the expiry of the period of application for participation; and

(b) a total turnover of at least EUR 700 000.00 p.a. in the last 3 years (in the case of a consortium formation, the aforementioned turnover is related to the accumulated turnover of the consortium partners); and

(c) liability insurance protection per helicopter with a combined single limit (Bodily Injury/Property Damage) to third parties with minimum coverage of EUR 50 000 000.00 any one occurrence. General liability insurance with minimum coverage of EUR 5 000 000.00 each occurrence and minimum EUR 10 000 000.00 in annual aggregate.

The above-mentioned minimum coverage amounts can be demonstrated by a certificate from the insurer that the applicant is willing to cover the above-mentioned coverage amounts in the event of an award, including a letter of confirmation from the applicant to conclude these in the event of an award.

Technische und berufliche Fähigkeiten:

Proof must be provided by presenting the following documents, which represent minimum conditions.

(a) The applicant's helicopter fleet must have minimum two helicopters that can transport and hoist at least four passengers each (a weight of 110 kg is assumed for each passenger together with 15 kg luggage).

(b) The helicopter should have a CAT A HOGE capability of minimum 2 minutes during hoist operations. If less than 2 minutes, the operator should demonstrate to the client the hoist cycle can be finished within the time the helicopter is in the CAT A HOGE regime.

(c) The helicopter must be certified for the operation in accordance with EASA regulations for IFR dual pilot operations over water in a hostile environment.

(d) The helicopter must have a flotation device allowing it to stay afloat long enough for all persons on board to escape the helicopter before it sinks.

(e) Lot 1: platforms Borselle alpha/beta and Hollandse Kuist alpha/beta have to be reached within 25 minutes flight time from the designated departure and arrival airport and has to be located within the Netherlands.

Los 2: cartographic presentation of the airport locations, each no further than 2 hours by car away from the service group sites in Oldenburg and Hohenwestedt.

(f) The applicant must provide minimum four references for previously executed contracts in form of a list of the principal services provided in the last 4 years.

For this purpose, the projects carried out should be briefly described, especially with following information:

— name of the client (including contact person for any queries),

— place of project execution,

— duration of the contractual relationship.

In the event that different bidders join together to form a consortium, the client will only accept a joint liability of the consortium.

A statement has to be made, using Annex A2, stating that all members of the consortium are jointly liable.

Furthermore, a clear consortia leader must be appointed. Moreover, the exact bidder constellation has to be explained and the legal construction needs to be visualized. The consortium structure shown in the pre-qualification phase is considered as fixed and may not be changed in the further proceedings.

The client is entitled to transfer the rights and obligations of the subject matter of the contract to a special purpose vehicle (NewCo), irrespective of whether third parties have already participated as shareholders in this project company, or only after any transfer of this master agreement to such a project participate.

§57 SektVO entitles the client to discontinue the award procedure at any time.

The framework agreement is concluded without minimum purchase quantities.

On the basis of legitimate confidentiality interests, the client will make the tender documents available to the tenderer only after receipt of the confidentiality agreement signed by the tenderer.
