Mortgagees Interest Insurance (MII) und Mortgagees Interest Additional Perils Pollution Insurance (MAP)

Kurze Beschreibung

Hsh portfoliomanagement AöR intends to identify one or more suitable providers for a framework agreement with a term of 4 years for an annual call of Mortgagees Interest Insurance (MII) and Mortgagee Interest Additional Perils Pollution Insurance (MAP) portfolio insurance within the scope of its activities as a ship-financing bank by means of a negotiated procedure. The current insurance is in effect until 17 June 2021 and the contract for the service will be awarded on the basis of a framework agreement with mini-competition. The framework agreement will bind a maximum of three contractors.

Beschreibung der Beschaffung

Hsh portfoliomanagement AöR (hereinafter referred to as pm) is responsible for taking over risk positions and non-strategic business areas (assets taken over) from HSH Nordbank AG in order to stabilise it and the financial market under the conditions of Paragraph 8b Sect. 1 of the Financial Market Stabilisation Fund Act (Finanzmarktstabilisierungsfondgesetz) and to realise and wind them up for profit. As at 30 June 2016, hsh pm took over a portfolio of nonperforming shipping loans from HSH Nordbank AG.
As part of its activities, it is necessary for pm, as the ship-financing bank, to cover itself via a further insurance package taken out directly by the banks in addition to the insurance policies
taken out by the shipowner. These include Mortgagees Interest Insurance (MII) insurance, which protects the mortgagee against a rejection of the shipowner's insurance claims from hull and/or liability insurance or war insurance. Secondly, Mortgagees Interest Additional Perils Pollution Insurance (MAP) is also taken out as a standard procedure. This insurance covers the risk for the lender that any damage that May occur cannot be covered in full by the shipowner's liability insurance.
In this context, pm would like to recruit one or more suitable contractual partners (e.g. insurers or brokers) for the conclusion of the above-mentioned framework agreement on the
basis of this tender procedure, in order to have the opportunity to conclude a Mortgagees Interest Insurance (MII) and Mortgagees Interest Additional Perils Pollution Insurance (MAP)
Portfolio insurance contract annually at market conditions within the framework of a mini-competition. The framework contract shall be concluded for 4 years and thus cover 4 insurance periods. A draft contract is attached to this tender. In addition to our framework agreement, the bidder should also be able to submit his own terms and conditions of contract.
The terms and conditions of contract between pm and the respective contractual partner can be supplemented and updated annually after consultation.
The commissioning of a service on the basis of this framework contract shall take place in the case of several contractual partners in accordance with the conditions of Article 21 Sect. 4
No 3 of the Procurement Ordinance (VgV) within the framework of the implementation of a mini-competition, initiated by the Principal by soliciting bids from the contractual partners on
the basis of a specification of services by means of defined award criteria. The contract for the individual call-off is awarded to the contractual partner with the most economical bid.
The following award criteria shall apply to all calls for tenders in the mini-competition:
— price;
— scope of the insurance cover provided, taking into account the market standard requirements: the term for the first insurance period of the MII/MAP insurance shall be 12 months from 18 June 2021, i.e., it shall end at the end of 17 June 2022.

Note on evaluation for the applicants:
3 applicants who meet all formal requirements and exclusion criteria will be invited to submit a bid (phase 2) and will be ranked 1 to 3 based on the number of qualification points.
If several applicants (e.g., 3 and 4 place) achieve the same number of points, their placement will be decided by lot. Thus, 3 applicants will be invited to submit a tender.

Zusätzliche Informationen

The contracts for the respective insurance period (individual contracts) shall be awarded to the respective best bidder after a renewed call for competition (mini-competition) between the
Companies participating in the framework agreement. The individual contracts shall be awarded for a period of 12 months. The first insurance period begins on 18 June 2021 and ends on 17 June 2022.

3) Self-declaration that the applicant has a corresponding licence within the scope of its insurance activity for the insurance line of business put out to tender or another comparable proof and that this entitles it to contract insurance for a German financial services institution;
4) Self-declaration on the number of ships that the company has managed on average in the last 3 years under ‘MII/MAP’.

After examination of the applications received, the three selected applicants will be invited to submit their bids. All questions in connection with the preparation of the bid/concept (2 stage of the procedure) must be submitted exclusively in writing by 10 March 2021 at the latest to GMSH, Attn: Ms. Ines Stölting (e-tendering system, e-mail: Ines.Stoelting@gmsh.de or fax: +49(0)431-599-1465). The following documents must also be submitted with the application for participation.

Note: the GMSH reserves the right to obtain an extract from the commercial register or equivalent proof before awarding the contract. 3.
7) If applicable: legal form of the bidding consortium to which the contract is to be awarded: bidding consortia are permitted. The evidence specified in the invitation to tender must also be submitted with the tender for all parties to a bidding consortium. All partners in a bidding consortium must sign the bid and the associated tender documents and name a consortium leader. The partners with the respective subcontracts must be named here.
All partners in a bidding consortium must declare separately the percentage of their liability.
8) Self-declaration that the contractor will not involve any related persons or companies in connection with the services/activities to be provided under the contract pursuant to section 285 No 21 of the German Commercial Code (HGB); if applicable, notification of any related persons and companies involved;
9) Declaration of no objection from the tax office or equivalent proof (proof of fulfilment of the obligation to pay taxes and duties).
Negotiation talks/presentations are expected to take place in calendar week 14. of 2021. A detailed evaluation matrix for the bids will be sent with the award documents.
During the bidding phase, the bidder can also submit its own terms and conditions of contract in addition to the existing draft framework agreement, which can be negotiated during the
award procedure.
Later during the subsequent mini-competition, the awarded framework contract partners are to submit their specific terms and conditions of insurance with the tender submission.

Genaue Informationen über Fristen für Überprüfungsverfahren

Bidders whose bids are not to be considered shall be informed prior to the award of the contract pursuant to Paragraph 134 GWB. A bidder may have its non-inclusion reviewed in review proceedings before the competent procurement chamber. The prerequisite for a review procedure is the prior notification of the infringement to the contracting authority. A request to conduct a review procedure is inadmissible if more than 15 calendar days have elapsed after receipt of the principal's notification that it does not wish to remedy a complaint (Paragraph 160 Sect. 3 Sentence 1 No. 4 GWB).
