Kurze Beschreibung:
Uniper is tendering a Framework Agreement for the supply of PV modules for utility-scale PV projects.
The ambition is to create a portfolio of Framework Agreements to cover Purchaser’s needs for the PV projects of the RES business unit whenever public procurement law is applicable to a project under the DIRECTIVE 2014/25/EU as well as under the relevant national rules of the Member States implementing the Directive.

The Framework Agreement will be in force for a fixed term of three (3) years, and the procurement includes an option to extend the contract duration annually for a maximum of two (2) additional years.

Befähigung zur Berufsausübung:
Bidders have to provide information on the exclusion criteria pursuant to item 2 of form II (see list of Article 57 of Directive 2014/24). Additionally they have to give information on legally binding decisions imposing fines for an administrative offence under Section 21 (1) of (2) MiLoG by using form III. Bidders have to hand in a current excerpt from the commercial register.

Supplier accepts the Uniper Supplier Code of Conduct (Appendix 2) and commits to act accordingly.
Wirtschaftliche und finanzielle Leistungsfähigkeit:
1. A minimum total turnover of 30 M€/year Euro (net) must have been reached or exceeded in each of the last 3 completed financial years (2020-2022).
2. The candidate shall provide in Form IV the required information on a Public, Product and Pollution Liability Insurance with the minimum sum insured therein in the amount of EUR 10 Mio. per occurrence and in the annual aggregate.
Technische und berufliche Fähigkeiten:
1. Supplier has supplied to date cumulatively at least 200MWp of PV modules to utility-scale PV projects in Europe during the past three (3) years prior to the deadline of the requests to participate.
• Required documentation: a reference-list and short description of the completed supplies delivered over the preceding three years, and details of their value, time and public or private recipient, to be given in form VII
2. In order to show that Supplier has a sufficient level of manufacturing maturity and capacity, Supplier needs to have at least 5 years of module manufacturing experience by 31 Dec 2022 and the annual production capacity as of 01 Jan 2023 shall be at least 1 GWp.

• Required documentation: Brief description of the nature and duration of the Supplier’s module manufacturing experience and confirmation of the annual production capacity by each manufacturing site, to be given in on form XV.
3. Supplier has valid quality management system according to ISO 9001 or corresponding certified operating procedures, for all his manufacturing sites, issued by an accredited body
• Confirmation on the form VI. In addition required documentation: copy of the relevant certificate from accredited bodies to be provided with the submission of the request to participate.
4. Supplier has valid environmental management measures system applied by the company during the execution of the contract according to ISO 14001 or corresponding certified operating procedures, for all his manufacturing sites, issued by an accredited body.

5. Supplier has valid occupational health and safety (OH&S) management system applied by the company during the execution of the contract according to ISO 45001 or corresponding certified operating procedures, for all his manufacturing sites, issued by an accredited body.

6. Supplier complies with all requirements in our Quality Assurance Document
• Confirmation on the form VI.
7. Supplier has an established Product Qualification Program (PQP) based on Highly Accelerated Life Tests as per IEC TS 63209-1 or similar to ensure product reliability during product design and qualification phase before going to the market.
• Required documentation on form VI: a short description of the test sequences and pass/fail criteria adopted. Confirm if the PQP is being carried out by a third party or in-house.
8. Supplier has the following IEC Certifications for their PV modules
• IEC 61215 (all applicable parts): Terrestrial photovoltaic (PV) modules – Design qualification and type approval;
• IEC 61730-1, -2: Photovoltaic (PV) module safety qualification, Part 1: Requirements for construction, Part 2: Requirements for testing;
• CE Mark
Suppliers will have to provide further IEC certificates during the mini-competition phase, according to the conditions of the specific project.
9. Supplier is able and also organizationally set up to deliver the PV modules to Europe DDP Installation Site, Incoterms 2020.

Qualitätskriterium (Bezeichnung): Flexibility and Diversification of the supplier chain For security of supply reasons and flexibility in manufacturing timeline and location it is considered beneficial to have a larger PV module manufacturing capacity as well as PV module manufacturing capacity in several locations. Suppliers are asked to list their existing and announced PV Module manufacturing locations and capacity (GW/yr) as well as their supplier structure. Scoring will be based on the total capacity (GW/yr), the number of separate PV module factories and the geographical distribution of the factories in different countries. (further details concerning the evaluation scheme are explained in the RFP document)
Qualitätskriterium (Gewichtung): 40
Qualitätskriterium (Bezeichnung): Vertical integration of the Supplier’s supply chain: a. The key component within crystalline silicon modules is the solar cell. A PV module Supplier that also manufactures solar cells and its subcomponents has a higher transparency of its supply chain and secondly also better security of supply. For this reason, more vertical integration has a benefit over Suppliers that need to source the solar cells from other companies. Scoring will be based on the manufacturing capacity of the following steps in the value chain: i. Quartz (kT/yr) ii. silicon metal (kT/yr) iii. polysilicon (kT/yr) iv. ingots (GW/yr) v. wafers (GW/yr) vi. cells (GW/yr) (further details concerning the evaluation scheme are explained in the RFP document)

Qualitätskriterium (Bezeichnung): European representation of the Supplier (sales, aftersales, technical support) European representation of the Supplier is beneficial for the ease of communication, potential face-to-face meetings, site visits, etc. for example, upon delivery. Suppliers will be awarded if following positions are based within Europe: vii. Key account manager (KAM) / sales manager, or similar viii. Head of European business, or similar ix. Pre-sales technical support, or similar (for technical support in mini-competition phase) x. After-sales technical support, or similar (for technical support in construction and operation phase, potential warranty claims) (further details concerning the evaluation scheme are explained in the RFP document)

Qualitätskriterium (Bezeichnung): Storage capacities and inventory management A high total storage capacity as well as the geographic diversification of the storage facilities in different countries increases the delivery flexibility and serves the security of the supply chain. Inventory management that ensures a high ratio of available stock to several PV module types and dimensions also increases supply chain security. In their concept, the bidders must provide information on the storage locations and the respective maximum storage capacities and explain the storage management concept (further details concerning the evaluation scheme are explained in the RFP document)

The procedure conducted by the contracting authority is a negotiated procedure with a preceding call for tenders in accordance with the SektVO. The principles of transparency of the procedure and equal treatment of all applicants under public procurement law are strictly observed throughout the entire procedure.
