The Framework Agreement governs the general conditions concerning the delivery of different types of vessels being able used to accommodate and transfer crew/personnel, as well as to supply goods and materials to, from and in the offshore site of the Project as well as accomodation vessels and other offshore supply and installation vessels .to shore and vice versa. The supply of each such vessel has to be specified by Individual Orders in form of a BIMCO Charter Party (WINDTIME), as amended by the Parties.

TWB tenders the BWII Framework Agreement for the Provision of Offshore Vessels in an open procedure. The Contract governs the general conditions concerning the delivery of different types of vessels being used to accommodate and transfer crew/personnel, to supply goods and materials to, from and in the offshore site of the Project as well as other offshore supply and installation vessels. The supply of each such vessel has to be specified by Individual Orders in form of a BIMCO WINDTIME Standard Offshore Wind Farm Personnel Transfer and Support Vessel Charter Party. Every successful bidder will agree on a separate Framework agreement. The number of Framework Agreements is not limited. On the basis of the concluded Framework Agreements TWB will request a specified vessel or specified vessels if a need for procurement such vessel arise. TWB will determine in advance evaluation criteria concerning such proposals. In principle the price will be such a criterion. Also technical aspects concerning the vessel and the qualification of the personnel can be used as evaluation criteria. Negotiations about the price will possible. In addition certain technical or economic aspects might be discussed. However, in principle the BIMCO as such will not be subject of negotiations. TWB reserves the right to adjust the requirements to the need of a specific vessel. In addition TWB reserves the right to reduce the number of bidders which are considered for negotiations in the afore mentioned meaning to three bidders. The Borkum West II offshore wind farm (BWII) is situated 45 km north of the island of Borkum at a water depth of approximately 30 meters at Lowest Astronomical Tide. The Location is specified in the Technical Note, which is part of the tender documents.

Bedingungen für die Teilnahme
Befähigung zur Berufsausübung:

— Excerpt from the trade register or a register which is similar if applicable (entities which do not have to be registered cannot provide an excerpt);

— Company presentation including scope of services, manning level;

— Declaration about the reliability of the bidder and about the compliance with certain provisions of the German Criminal Code and similar foreign provisions such as section 21 para. 1 and para. 4 German Sector Ordinance (Sektorenverordnung – SektVO); form is available under [http://www.trianel.com/frameworkagreement.zip]. It has only to be signed and attached to the particiaption request.

Wirtschaftliche und finanzielle Leistungsfähigkeit:

— Annual reports of the last three years including total turnover. If the bidder is not obliged for establish an annual report he has to provide comparable relevant documentation.

— Proof of business liability insurances with following minimum limiting values:

1. Protection and Indemnity: USD 500,000,000 for any one event. The cover shall include liability for collision and;

2. Damage to fixed and floating objects to the extent not covered by the insurance;

3. Bodily Injury USD 10,000,000 per person;

4. Property Damage USD 10,000,000 per occurrence.

Technische und berufliche Fähigkeiten:

Track record of similar assignments and references, in accordance to requested scope of work as per chapter 5 of the Technical Note, of the last three years (2010–2013) in the offshore wind and/or oil and gas industry. The track record includes following information.

— Contract volume;

— Client references;

— Scope of work;

— Place of performance.
