Procurement of Consultant Services — Management Company Selection

Overall Responsibilities. The Management company shall:
I. Assist the Grand Tabaks GmbH's (Company) relevant governance staff in the selection of the Construction company;
II. Perform control and monitoring over the construction process, including funds management, deadlines, resource utilization, legal and regulatory compliance etc.;
III. Ensure smooth launch of operations after the Construction completion;
IV. Take over the management of the Company upon the launch of the operations — optional;
V. Maintain proper and timely reporting to the Company based on the relevant requirements set by the Company.
Specific Responsibilities.
Within the scope of the above-listed general responsibilities the Management company shall:
I. Assist the Company in the selection of the Construction company;
This will include, but not limited to:
1.1. Assist with preparation of the Terms of Reference;
1.2. Assist with the selection of the construction company;
1.3. Assist with the preparation of the work-plan of the construction process, including detailed interim deadlines, estimated resource utilization, responsibility allocation etc.;
1.4. Ensure the legal and regulatory compliance of the requirements set for the construction, in accordance with the requirements set by the German laws and regulations, as well as international standards, including Safety, Health and Environmental standards;
1.5. Consult with the Project manager throughout the above listed activities.
II. Perform control and monitoring over the construction process, including funds management, deadlines, resource utilization, legal and regulatory compliance etc.
This will include, but not limited to:
2.1. In collaboration with the Project manager develop monitoring and evaluation plan of the whole construction process. Provide for the Company's approval;
2.2. In collaboration with the Project manager perform on-going control over the construction process based on the monitoring plan. Evaluate the completion status of the construction in accordance with the evaluation plan;
2.3. Perform the financial management, including book-keeping, accounting and reporting (state, tax and management reporting);
2.4. In collaboration with the Project manager perform procurement and stock management during the construction process;
2.5. Ensure the legal and regulatory compliance of the construction process with the German laws and regulations, as well as the relevant international standards, including Safety, Health and Environmental standards.
III. Ensure timely preparatory works and smooth launch of operations after the Construction completion.
This will include, but not limited to:
3.1. In consultation with the Company and the Project manager prepare the organizational structure of the Company;
3.2. Recruit the staff of the Company. This will include the following:
— Preparing relevant job descriptions;
— Posting the relevant announcements and gathering the CVs;
— Short-listing and selecting staff;
— Presenting the results to the Company;
— Preparing the employment agreements and ensure signing of the agreements;
— Performing required documentation and filing of the personal folders of the recruited staff.
3.3. Negotiate with and make all the necessary arrangement with the Government, other municipal bodies.
3.4. Negotiate with the relevant vendors, including:
— ERP/Accounting and reporting software providers;
— utility suppliers;
— transportation and logistics companies, suppliers of major goods etc.
The negotiation process should be performed under the supervision and the oversight of the Company, as well as with the participation of the Company, if required. Ensure signing of the relevant contracts.
3.5. Prepare the internal documentation templates and forms as required by the relevant local laws and regulations.
3.6. Prepare the internal process procedures. The procedures should ensure proper controls in place and risk management schemes.
3.7. Prepare the management reporting forms in consultation with the Company.
3.8. In cooperation with the Project manager perform the completion of the construction.
3.9. In cooperation with the Project manager perform the acceptance of the plant and operations.
IV. Take over the management of the Company upon the launch of the operations — Optional.
This will include, but not limited to:
4.1. Provide relevant key management staff to perform the financial, operational and administrative management. This will include:
— Processing and manufacturing;
— Sales and Marketing function;
— Budgeting and forecasting;
— Cash Management and Funds Control;
— Payment Operations;
— Accounting and Reporting;
— HR function;
— Legal function;
— Other operations.
4.2. The whole process should be performed in compliance with the local legal and regulatory requirements (including accounting, reporting, taxation etc.), as well as based on the relevant Pinternational standards and leading practices.
V. Maintain proper and timely reporting to the Company based on the relevant requirements set forth by the Company.
This will include, but not limited to:
5.1. Prepare monthly/quarterly/annual financial and management reports for the Company based on the agreed templates and within the agreed deadlines;
5.2. Prepare other ad-hoc reports, as requested by the Company.
