The contract will be awarded by way of an open procedure, as defined in section 119 paragraph 3 GWB, Germany's Act Against Restraints on Competition and section 15 VgV, Germany's Regulation on the Award of Public Contracts. FMS-WM will procure the services for the benefit of FMS-SG. FMS-WM reserves the right to define more precisely or change the published course of the procedure in a transparent manner based on equal treatment of all bidders. The contracting authority will select two entities per lot as framework agreement partners. FMS-SG will conclude framework agreements with the two companies that have submitted the most favourable offers per lot as ranked by the award criteria. The framework agreements will then be established for a term of four years starting with the official award date. The contracting authority will be working exclusively with the two framework agreement partners in each lot. For each recruitment demand both framework partners will be assigned with the recruitment in accordance with the framework agreement. If single recruitment assignments under these framework agreements are commenced before the effective end date of the agreements, but the tasks are required to be performed beyond this date, these single recruitment assignments are not affected by the end of the term of the framework agreements.

FMS-SG expects continuous demand in recruitment requirements in several of its areas of activity. These areas of activity, constituting the 2 lots of this tender are:

1. Lot: Asset Management;

2. Lot: COO and Finance and Risk.

For each lot, FMS-SG will conclude a framework contract with the two tenderers respectively bidding consortia, which have submitted the most favourable offers.

The expected demand for each lot is 15 recruitments within the 4-year contract period. However, the expected demand is just an estimate and does not constitute a minimum order quantity.

The contracts are awarded to reliable, capable and expert (suitable) companies, cf. the contract notice in the Supplement to the Official Journal of the European Union.

For bidding consortia, it is sufficient if at least one member can prove the expertise requirements. With regard to capability the bidding consortium as a whole is decisive. Each member of the bidding consortium must be reliable.

A lack of expertise or capability or reliability will result in the exclusion of the offer submitted by the tenderer or bidding consortium.

The criteria for expertise, capability and reliability must be proven by submitting the following declarations and documents. The submission of the requested declarations and supporting documents is mandatory and will, subject to an optional subsequent request by the contracting authority, result in exclusion from the award procedure. All documents are available on the homepage listed under section I.3) of this announcement.

The following declarations and supporting documents must be submitted (only those forms provided by the contracting entity (contract award procedure document C) may be used for the

required declarations):

1. Written Offer Cover Letter (Form C0);

2. Information on the tenderer and, if applicable, the bidding consortium: information on the company and the companies participating in the bidding consortium (name, legal form, address) and on the executives (name, place and date of birth) (Form C1).

3. In the case of a bidding consortium: declaration on the power of representation of the bidding consortium and joint liability (Form C2).

4. In the case that the tenderer and, if relevant, the bidding consortium, would like to contract subcontractors: letter of intent of the subcontractor (Form C3).

5. Self-declaration on the absence of grounds for exclusion (Form C4). In the case of sub-contraction, the subcontractor(s) must also submit this declaration.

Technische und berufliche Fähigkeiten:

Disclosure of three references from similar assignments (Form C5). The tenderer or bidding consortium must provide references related to the service areas requested by FMS-SG. The tenderer or bidding consortium must provide at least three (3) comparable references for each lot. This is a minimum criteria.

Mindeststandards:

To be counted as comparable, the reference must

1. be related to the financial service industry,

2. constitute a continuous working relationship with the client greater than one (1) year,

3. consist of a minimum two (2) or more recruitment assignments for this particular client and

4. relate to at least one of the activity areas (lots) requested by FMS-SG.

The references must not be older than 3 (three) years and must contain the following:

1. Name of the contracting authority,

2. Duration and timeframe of the provision of services,

3. Description of the area of service and the substantive scope of the provision of services;

4. Number of positions filled, stating the level/seniority of the employees recruited.

The contracting authority refers, in particular, to § 160 paragraph 3 Nr. 1 GWB [Act Against Restraints of Competition]. Under this act, an application for review is only admissible if that application is made within 10 calendar days after becoming aware of the violation of public procurement provisions during the award procedure.

Breaches that become apparent from the tender notice or the procurement documents must, at the latest, be notified to the contracting authority by the end of the period for the submission of a tender or application specified in the notice (§ 160 paragraph 3 no. 2 and no. 3 GWB).

If the contracting authority gives notice that it is unwilling to redress the complaint, the application for a review proceeding may be submitted in writing to the public procurement tribunal only within 15 calendar days of receipt of such notice (section 160 paragraph 3 no. 4 GWB); in this context the date of receipt of the application for a review proceeding by the public procurement tribunal will be decisive in determining whether the time limit has been observed.

We understand that the award criteria open leeway in terms of the assessment exercised by the contracting authority. However, the assessment will be exercised to the best knowledge and belief, in an impartial, transparent and non-discriminatory way. The contracting authority considers the selected criteria, their description, including the requirements for the content of the offers and the related notes on the assessment method as compliant with the public procurement law. We point out that there is a reprimand duty of notice following § 160 paragraph 3 GWB.
