BNG leases the network it has built over the past years to Netcom Kassel Gesellschaft für Telekommunikation mbH ("NCK").
NCK's main business activities are the sale, expansion and upgrading of internet and telephony services for both residential and business customers.
The shareholders of BNG, the districts of Hersfeld-Rotenburg, Kassel, Schwalm-Eder, Waldeck-Frankenberg and Werra-Meißner, as well as the shareholders of NCK, Kasseler Verkehrs- und Versorgungs-GmbH and EAM Beteiligungen GmbH, intend to sell all shares in BNG and NCK respectively by way of a structured bidding process.

Rather, it is intended to sell the shares in a competitive, transparent, non-discriminatory and unconditional structured bidding process.

NCK's main business activities are the sale, expansion and upgrading of internet and telephony services for both residential and business customers.

The shareholders of BNG, the districts of Hersfeld-Rotenburg, Kassel, Schwalm-Eder, Waldeck-Frankenberg and Werra-Meißner, as well as the shareholders of NCK, Kasseler Verkehrs- und Versorgungs-GmbH and EAM Beteiligungen GmbH, intend to sell all shares in BNG and NCK respectively by way of a structured bidding process.

The shareholders of Breitband Nordhessen GmbH are the following local authorities:

- District of Hersfeld-Rotenburg (20%)

- Kassel district (20%)

- Schwalm-Eder district (20%)

- Waldeck-Frankenberg district (20%)

- Werra-Meißner district (20%)

The shareholders of Netcom Kassel Gesellschaft für Telekommunikation mbH are the following companies:

- EAM Beteiligungen GmbH (50%)

- Kasseler Verkehrs- und Versorgungs-GmbH (50%)

The respective shareholders intend to sell all shares in the respective company by way of a structured bidding process.

BNG is a network infrastructure ownership company whose previous mission is the subsidised, area-wide broadband expansion in the region of North Hesse to supply private households and commercial enterprises in the district areas of the shareholders with high-performance broadband connections. BNG leases the network it has built over the past years to NCK. BNG employs 4 people (as of December 2021).

NCK's core business is the sale, expansion and modernisation of internet and telephony services for both private and business customers. NCK employs 102 people (as of December 2021).

Beschreibung der Optionen:

It is possible to submit a bid for the acquisition of the shares in BNG and NCK as a "package" as well as individual bids for the acquisition of the shares in BNG or NCK only. If a bid is submitted as a "package" for the shares in BNG and NCK, the bid price shall be divided by the bidder between BNG and NCK accordingly.

Parties interested in participating in the structured bidding procedure are asked to request the tender documents including the 1st procedural letter from the above-mentioned communication address, KPMG AG Wirtschaftsprüfungsgesellschaft. Interested parties will then be requested, together with the tender documents, to submit an indicative bid for the acquisition of the shares in Breitband Nordhessen GmbH or Netcom Kassel Gesellschaft für Telekommunikation mbH by 6 May 2022, 12:00 noon. It is pointed out that an indicative bid may also be submitted by a bidding consortium.

With the sending of the tender documents by the above-mentioned contact point, the interested parties are requested to sign a confidentiality agreement customary in the market. The further details of the structured bidding procedure will be communicated to the interested parties in the 1st procedural letter.

The shareholders reserve the right to limit the number of bidders in the further course of the structured bidding procedure.
